MMCG Analytics Terms of Use

MMCG Analytics LLC, 27 Maiden Lane, Suite 625, San Francisco, CA 94108

Version 2.0. Effective October 23, 2026.

These Terms of Use (the "Terms") are a binding agreement between you and MMCG Analytics LLC ("MMCG", "we", "us"). They govern app.mmcganalytics.com and its maps, layers, data, documents, exports and any API (the "Services"). Sections 3, 5, 7 and 13 to 17 say what the Services are not, who may rely on them, what you may not do, what MMCG can owe you and how disputes are decided.

1. Accepting these Terms

1.1 You accept these Terms by any one of these acts: clicking "Continue" in the notice shown on your first visit; checking the acceptance box and clicking "Create account" or "Accept"; or signing an order form that incorporates these Terms. "Using" the Services includes viewing the map and submitting any address, parcel or search query.

1.2 If you accept for an organization, you confirm that you may bind it, and "you" means you and that organization.

1.3 MMCG records each acceptance: your user id, organization and email (if you have an account), the time in UTC, your IP address and browser user agent, a fingerprint of the exact version of these Terms, the state of the acceptance box and the button you clicked. These records are kept for as long as the account exists and then for at least five years.

1.4 If you do not agree, do not use the Services.

2. Who may use the Services

2.1 The Services are for business use only. By accepting, you confirm that you are at least 18 and that you use the Services in a business or professional capacity (for example as a lender, sponsor, investor, broker, developer, consultant or adviser), not for personal, family or household purposes.

2.2 Each login belongs to one named person. Keep your password secret and tell us at once if someone else may have used it. You are responsible for activity under your account.

2.3 Plans. The Services have a free tier and paid plans (Standard and Premium). Some features, including the Market section (section 6.3), are available only on paid plans. Plan features may change.

3. What the Services are, and what they are not

3.1 The Services are a self-service research tool. They show data compiled from public and licensed third-party sources, and outputs of MMCG's automated models, for preliminary screening and your own analysis. MMCG has not verified the data, which may be incomplete, out of date or wrong.

3.2 Not an appraisal. Nothing in the Services is an appraisal, appraisal review, evaluation, broker price opinion, automated valuation model (AVM) output or opinion of value of any real property. No content is developed or reported under the Uniform Standards of Professional Appraisal Practice. MMCG does not develop opinions of value and is not a licensed appraisal firm. A figure labeled "assessed value (county source)" is the amount a local taxing authority published for property tax purposes. A "recorded sale price" is the amount shown in a public transaction record. Neither is an estimate of market value.

3.3 Not a feasibility study or report for reliance. Outputs are not a feasibility study, market study, environmental report, engineering report or credit memorandum, and they are not a study required by the U.S. Small Business Administration (SBA), USDA Rural Development or any lender. MMCG issues no feasibility study and no reliance letter (see section 5.3).

3.4 Not a credit or eligibility decision. Debt service coverage and similar figures are computed from your inputs and from data MMCG has not verified. They are shown only against a stated reference threshold, for example "DSCR 1.31x vs SOP 50 10 8.1 reference minimum 1.25x". They are not a credit decision, approval, commitment or offer to lend, and they are not a finding that any borrower, loan or property is eligible for any program. Eligibility, credit and guaranty decisions rest only with the lender and the agency concerned.

3.5 Not advice. Nothing in the Services is investment, legal, tax, accounting, engineering or credit advice, or a recommendation to buy, sell, hold or finance any property, loan or security. MMCG is not a registered investment adviser or broker-dealer. References to laws and program rules are general information.

3.6 No government affiliation. MMCG is a private company. It is not affiliated with, endorsed by or acting for the SBA, the U.S. Department of Agriculture or any other agency. Agency and program names identify data sources and programs only.

3.7 AI-assisted content. Some text is drafted with the help of generative AI from the data cited beside it. It may contain errors and expresses no opinion of value, recommendation, eligibility finding or legal conclusion.

3.8 Layer notices. Each map layer carries a notice in the layer panel and on the Data Sources page at /legal/data-sources. Those notices form part of these Terms. In particular: flood data is not a Standard Flood Hazard Determination under 42 U.S.C. 4104b; wetland data is not a wetland delineation or a Clean Water Act jurisdictional determination, which only the U.S. Army Corps of Engineers issues; radon zones are EPA's 1993 county-level screen and do not replace a building test; soil data is for planning purposes only; elevation data cannot support a FEMA Elevation Certificate; seismic values come from provisional USGS services and must be confirmed by a licensed design professional; and environmental records are not a Phase I Environmental Site Assessment, an SBA Records Search with Risk Assessment or "all appropriate inquiries" under 40 CFR Part 312.

4. You must verify

4.1 Before you rely on anything from the Services, check it against the official source and obtain any determination, survey, inspection, test, appraisal or report that law, program rules or prudent practice require, from a qualified provider.

4.2 You make your own decisions. Except for statements in an order form MMCG signs, you are not relying on any statement by MMCG. Nothing in this section limits liability for fraud.

5. Intended user, third parties and legends

5.1 The only intended user of the Services and of every output is you, the subscriber, for your own research and preliminary screening. No one, including you, may rely on any output as the basis of a credit, underwriting, investment or valuation decision. No lender, investor, guarantor, borrower, agency or other person is an intended user. There are no third-party beneficiaries of these Terms, except Esri as stated in section 9.4.

5.2 Every export carries notices, a watermark or legend and an Export ID (section 10). You must not remove, crop, cover, alter or obscure them, and you must not present an output as an MMCG feasibility study, an appraisal or an opinion of MMCG.

5.3 If you give an output to anyone (a lender, broker, investor, borrower, agency or anyone else), you must keep its notices intact and tell the recipient in writing that it is not for reliance. Signed feasibility studies are a separate professional service of MMCG Invest, LLC under its own engagement letter, and a lender may obtain reliance on such a study only through a paid reliance letter it countersigns. MMCG provides no reliance.

6. Your licence, and the Market section

6.1 MMCG grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services and their outputs for your own internal research and preliminary screening of specific properties, markets, loans or investments (the "Permitted Purpose").

6.2 Attributed excerpts. You may include insubstantial excerpts of outputs (a few figures, a chart or a map image) in a document you prepare for a specific transaction or for your own records, if the excerpt keeps its notices and every source credit, carries the credit line "Source: MMCG Analytics. Not an appraisal or feasibility study. Not for reliance.", and is not presented as your own independent analysis.

6.3 The Market section. Competitor, demand and supply data within a market area (the "Market section") is available only to Standard and Premium subscribers and is never shown to free users. It is licensed for the subscriber's own analysis only. You may not redistribute, resell, reproduce or scrape it, except as section 6.2 allows. The "update market conditions" action is available on Premium only. Section 9 applies to open-licensed content in the Market section.

7. What you may not do

Except as section 9 allows for open-licensed content, you may not:

(a) sell, sublicense, rent, publish, redistribute or reproduce the Services or any output, beyond the excerpts that section 6.2 allows;

(b) scrape, crawl, copy in bulk or extract data, by any bot, script, AI agent, other automated means or manual process, beyond what one person does in ordinary use, or get around any rate limit, access control or plan limit;

(c) use any output to train, fine-tune, ground, evaluate, embed or distill any artificial intelligence or machine learning model, or upload outputs to any third-party AI tool that keeps or trains on them (an AI tool that runs inside your own environment and does not keep or train on the content is allowed);

(d) use the Services or any output to build, train or improve a product, service or database that competes with the Services;

(e) use any output as a factor in deciding any person's eligibility for consumer credit, insurance, employment, housing, tenancy or a government licence or benefit, or for any other purpose covered by the Fair Credit Reporting Act. MMCG is not a consumer reporting agency and outputs are not consumer reports. Do not use an output as the only basis for any adverse decision;

(f) use any output in an offering memorandum, private placement memorandum, prospectus, SEC filing or other securities offering or disclosure material without MMCG's separate written licence;

(g) use the Services to prepare a title, vesting, ownership or encumbrance report;

(h) share logins, reverse engineer the Services, probe or test their security without permission, or interfere with their operation; or

(i) use the Services in breach of any law.

8. Records that name people

8.1 Some records show the owner of record exactly as a county publishes it. MMCG withholds owner names where the law requires, including under Washington RCW 42.56.070(8), Arizona A.R.S. 39-121.03, Texas Tax Code 25.025 and Florida Statutes 119.071(4)(d), and for persons in address confidentiality programs.

8.2 You may use owner information only for the Permitted Purpose. You may not use it for solicitation, marketing lists, telemarketing or resale; to locate, contact, profile or harass any person; or to re-identify a record that MMCG or the source withheld. Arizona records may be used only for the commercial purpose MMCG stated to the county: property, market and credit analysis.

9. Data sources and open licences

9.1 The Data Sources page at /legal/data-sources lists each source, its licence, its required credit and its notices. Those terms are part of these Terms. If these Terms conflict with a source licence for that source's content, the source licence controls for that content.

9.2 Open-licensed content. Some content is open data: OpenStreetMap-derived buildings and map data (including the Overture Maps buildings, base, transportation and divisions themes) under the Open Database License 1.0 (ODbL); Overture Places and Foursquare places data under the Community Data License Agreement Permissive 2.0 or the Apache License 2.0; records under Creative Commons Attribution 4.0; and any other content the Data Sources page names as open-licensed. Nothing in these Terms, including sections 5.2, 5.3, 6, 7, 10, 15 and 18.2, limits any right you have under those licences for that content. Those restrictions apply only to MMCG's own content and to other third-party data. How to obtain the ODbL content and any ODbL derivative database used in the Services is explained at /legal/open-data.

9.3 Government and public-record data. Parcel, assessment and other public records come from county, state and federal agencies. They are not official records, surveys, title reports or flood determinations, and no agency endorses the Services. This product uses the Census Bureau Data API but is not endorsed or certified by the Census Bureau. Texas Department of Transportation traffic data may not be used for commercial purposes, resold or given to third parties without TxDOT's written consent. Where a source agency requires it, you accept that agency's disclaimer and indemnity terms shown on the Data Sources page.

9.4 Esri. Addresses and locations found through Esri services ("Esri output") may be used only inside the Services and in static documents they produce. You may not extract, store, redistribute, rebrand or sublicense Esri output, use it to build or improve a competing geocoding, address or location product, use it to train AI or machine learning systems, or remove the "Powered by Esri" credit. Esri and its licensors are intended third-party beneficiaries of this section 9.4.

10. Exports and legends

10.1 Every export carries MMCG's notices: a diagonal watermark and a cover notice on PDFs, a legend inside map images, notice rows and a notice column in CSV files, a first "Notice" sheet in XLSX files and a legal_notice field in API responses.

10.2 Every export carries an Export ID, the subscriber's name, the time in UTC, the data as-of date and a fingerprint of the file. MMCG logs these on its servers.

10.3 Exports from the Services carry no signature, seal or professional credential. They are not signed studies.

11. Fees, orders and renewal

11.1 The free tier has no fee. Paid plans are provided under an order form or a written plan confirmation that states the fees, term and plan. Fees are payable as stated there and exclude taxes.

11.2 A Premium order form incorporates these Terms by version and date. If documents conflict, this order governs: the signed order form and any signed master agreement; then any signed addendum; then these Terms in the version the order form names; then documentation. A later version of these Terms applies to a Premium subscriber only on written acceptance or at renewal after 30 days' notice.

11.3 MMCG does not sell plans that renew automatically online. If it starts to, the renewal, cancellation and reminder terms will be shown to you and agreed before you buy.

12. Your content and MMCG's rights

12.1 Content you upload stays yours. You give MMCG the rights needed to host and process it for you, and you confirm that you may upload it.

12.2 The Services, MMCG's models, text, selection and arrangement of data and all outputs, apart from third-party and open-licensed content, belong to MMCG and its licensors. If you send feedback, MMCG may use it freely.

13. No warranty

THE SERVICES, DATA, MAPS, SCORES, OUTPUTS AND EXPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, MMCG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS AND NON-INFRINGEMENT. MMCG DOES NOT WARRANT THAT ANY DATA IS ERROR-FREE OR CURRENT OR THAT THE SERVICES WILL BE UNINTERRUPTED.

14. Limit on liability

14.1 TO THE FULLEST EXTENT THE LAW ALLOWS, MMCG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST LOAN PROCEEDS, LOST BUSINESS OPPORTUNITY OR LOST DATA.

14.2 MMCG'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID MMCG FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US $100.

14.3 SECTIONS 14.1 AND 14.2 DO NOT LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT OR WILLFUL INJURY, GROSS NEGLIGENCE OR VIOLATION OF LAW, OR ANY OTHER LIABILITY THAT CALIFORNIA CIVIL CODE SECTION 1668 OR OTHER LAW DOES NOT ALLOW TO BE LIMITED.

15. Indemnity

You will defend, indemnify and hold harmless MMCG and its personnel against third-party claims, losses and costs, including reasonable legal fees, arising from your breach of these Terms; your giving any output to a lender, borrower, investor, agency or other third party; your removal or alteration of any notice, watermark, legend or Export ID; or your violation of law. This section does not apply to the extent a claim results from MMCG's fraud, willful misconduct or gross negligence.

16. Disputes

16.1 Arbitration. Any dispute between you and MMCG relating to the Services or these Terms will be resolved by final, binding, individual arbitration administered by JAMS under its Comprehensive Arbitration Rules (or its Streamlined Arbitration Rules where they apply), seated in San Francisco, California. The arbitrator decides questions of arbitrability. MMCG will pay any arbitration fees beyond the filing fee you would pay in court.

16.2 Individual claims only. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding.

16.3 Public injunctive relief. Nothing in this section waives any right to seek public injunctive relief. Any such claim will be severed and stayed until the arbitration of all other claims ends.

16.4 Small claims. Either party may bring an individual claim in small claims court instead.

16.5 Batches. If 25 or more similar arbitration demands are filed by or with the help of the same or coordinated counsel, they will be administered in batches under the JAMS mass arbitration procedures.

16.6 Opting out. You may opt out of this section 16 within 30 days after you first accept these Terms by writing to info@mmcginvest.com with your name, your account email and a statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.

16.7 This section 16 does not waive any right to a jury trial in a court proceeding that is not subject to arbitration.

17. Governing law, venue and time limit

17.1 California law governs these Terms, without regard to conflict-of-laws rules. Subject to section 16, the state and federal courts in San Francisco County, California have exclusive jurisdiction, and each party consents to them.

17.2 To the extent the law allows, a claim arising from the Services or these Terms must be filed within one year after the claimant discovered, or reasonably should have discovered, the facts giving rise to it, or it is barred. This does not apply to claims whose time limit cannot be shortened by contract.

18. Suspension, termination and destruction

18.1 You may stop using the Services at any time. MMCG may suspend or end your access if you breach these Terms, if a data supplier requires it, or if continuing would expose MMCG to legal risk. Removing a legend is a material breach.

18.2 When your access ends, you must stop using outputs and delete them, except excerpts already included in transaction documents under section 6.2 and copies the law requires you to keep. On request, you will certify the deletion in writing within 10 business days.

18.3 Sections 4, 5, 7, 8, 12 to 17, 18.2 and 21 survive the end of these Terms.

19. Changes to these Terms

19.1 MMCG may update these Terms. Changes apply only going forward, and never to a dispute that arose, or that either party knew about, before the change took effect.

19.2 For a material change, MMCG will email account holders at least 30 days before it takes effect, and you will be asked to accept the updated Terms in the Services before further use. A visitor will see the notice again and must click "Continue" to accept it. Posting a new version alone does not change your agreement.

20. Privacy and messages

20.1 The Privacy Notice at /legal/privacy explains how MMCG handles personal information. It is a notice, not part of what you accept here.

20.2 Accepting these Terms does not sign you up for marketing. MMCG sends marketing email only if you separately opt in, and you may withdraw at any time. Service messages about your account and these Terms are not marketing.

21. General

21.1 These Terms, any order form and the documents they name are the whole agreement between you and MMCG about the Services. An unenforceable part will be limited or severed as little as needed, and the rest stays in force. A failure to enforce a right is not a waiver. You may not assign these Terms without MMCG's written consent; MMCG may assign them to a successor to its business.

21.2 Notices to MMCG go to MMCG Analytics LLC, 27 Maiden Lane, Suite 625, San Francisco, CA 94108, or info@mmcginvest.com. MMCG may send notices to the email on your account or in the Services.
